Black Canyon Limited (ACN 150 714 739) (Company) has lodged a prospectus dated 4 September 2024 (Prospectus) with the Australian Securities and Investments Commission (ASIC) for the offers of:
- up to $30,000 worth of fully paid ordinary shares in the Company (Shares) to each eligible shareholders under the Company’s security purchase plan (SPP), at an issue price of $0.07 per Share, to raise up to $500,000, together with on free attaching option to acquire a Share (Options) for every two Shares subscribed for and issued, exercisable at $0.014 on or before the date that is two years from the date of issue (SPP Offer); and
- up to 6,072,503 Options to individuals that participated in the placement announced on 29 July 2024 (Options Offer).
The Company has specified a target market (Target Market) for investors under the SPP Offer and Options Offer, which is set out in the target market determination available at https://blackcanyon.com.au/bc/wp-content/uploads/2024/09/BCA-Target-Market-Determination-TMD-Options-04-09-243513733.2.pdf (TMD). The Prospectus can only be accessed by the investors in the TMD.

Applications
Anyone who wants to apply under the SPP Offer or the Options Offer will need to carefully consider the Prospectus and TMD, and complete the Application Form attached to or accompanied by the Prospectus (Application Form) or pay the applications monies (if applicable) in accordance with the details set out in the Prospectus and Application Form. The Corporations Act 2001 (Cth) prohibits any person from passing onto another person an Application Form unless it is attached to or accompanied by a complete and unaltered version of a prospectus.
The Company reserves the right not to accept Application Form or payment of application monies from a person if it has reason to believe that when that person was given access to the electronic Application Form, it was not provided together with the electronic Prospectus and any relevant supplementary or replacement prospectus or any of those documents were incomplete or altered.
